1. AGREEMENT TO TERMS

These Terms of Service ("Terms") govern your use of nextturnai.com (the "Site"), operated by NextTurn AI, LLC ("NextTurn AI," "we," "us," or "our"). By accessing or using the Site, submitting a form, or booking a call through the Site, you agree to these Terms.

If you do not agree to these Terms, please do not use the Site.

These Terms govern use of the Site itself. If you become a paying client of NextTurn AI, your actual service relationship (pricing, deliverables, term length, liability terms, etc.) is governed by a separate signed Service Agreement between you and NextTurn AI — not by these website Terms. Where the two conflict regarding an actual paid engagement, the signed Service Agreement controls.

2. WHAT THIS SITE IS FOR

The Site provides information about NextTurn AI's automation services for service-based businesses, including free lead magnet tools (such as photo estimator or patient reminder tools), general service information, and a way to book a discovery call or submit an inquiry.

Nothing on the Site constitutes a binding offer of services. Pricing, availability, and specific terms discussed on a call or in a proposal are not final until reflected in a signed Service Agreement.

3. USE OF THE SITE

3.1 Permitted Use

You may use the Site for its intended purpose: learning about our services, submitting an inquiry, and booking a call.

3.2 Prohibited Use

You agree not to:

• Use the Site for any unlawful purpose

• Submit false or misleading information through our forms

• Attempt to gain unauthorized access to any part of the Site, our systems, or our third-party tools (including GoHighLevel, n8n, or any connected platform)

• Interfere with or disrupt the Site's functionality

• Use automated means (bots, scrapers, etc.) to access or extract data from the Site without our permission

• Submit content that is harmful, abusive, or infringes on the rights of others

4. THE FREE LEAD MAGNET TOOLS

4.1 What's Offered

NextTurn AI offers free, custom-configured tools (such as a photo estimator tool or patient/client reminder tool) to qualifying businesses, typically in exchange for a brief discovery call to gather the information needed to configure the tool.

4.2 No Guarantee of Eligibility

Offering a free tool build does not obligate NextTurn AI to build one for every business that submits a form or books a call. We reserve the right to determine, at our discretion, whether a business is a fit for this offer.

4.3 Not a Permanent Offer

Free tool offers, founding client pricing, and similar promotions referenced on the Site or in our marketing materials (including video content) are time-limited and subject to change or discontinuation without notice. The specific terms of any offer made to you will be confirmed directly, not solely relied upon from general Site or marketing content.

5. FORMS, CALLS, AND SMS COMMUNICATIONS

5.1 Accuracy of Information

When you submit a form on the Site, you agree to provide accurate and current information.

5.2 Consent-Based Communications

If you provide consent via a checkbox on one of our forms, you may receive SMS text messages and/or emails from us related to scheduling, your inquiry, or (if separately consented to) marketing content. See our Privacy Policy for full details on SMS consent and how to opt out.

5.3 Booking a Call

Booking a discovery call through the Site does not create any binding obligation on either party beyond the call itself. Either party may reschedule or cancel a scheduled call.

6. INTELLECTUAL PROPERTY

6.1 Our Content

All content on the Site — including text, graphics, logos, the NextTurn AI name and branding, and the underlying design — is the property of NextTurn AI, LLC or its licensors, and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our Site content without our written permission.

6.2 Case Studies and Illustrative Figures

Any case studies, example results, or figures presented on the Site (including on our Case Studies page) may be illustrative, based on our service model and industry benchmarks, unless explicitly identified as verified client results. See the specific disclosures on those pages for details. Individual results for any business will vary based on numerous factors and are not guaranteed.

7. THIRD-PARTY LINKS AND TOOLS

The Site may contain links to or embeds of third-party tools (such as GoHighLevel forms or scheduling calendars). We are not responsible for the content, privacy practices, or availability of third-party platforms, even where they are embedded within our Site.

8. DISCLAIMERS

8.1 "As Is" Basis

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee of Results

Any figures, statistics, or projected results referenced on the Site (including ROI estimates, percentage improvements, or dollar-value examples) are illustrative and based on industry benchmarks or prior client results where noted. They do not constitute a guarantee of results for your specific business. Actual results depend on numerous factors specific to your business.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTTURN AI, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS LIMITATION APPLIES TO USE OF THE SITE ITSELF. Liability related to an actual paid service engagement is governed separately by the Limitation of Liability terms in your signed Service Agreement.

10. INDEMNIFICATION

10.1 Indemnification by You

You agree to indemnify, defend, and hold harmless NextTurn AI, LLC, its owner, and any contractors working on its behalf from and against any third-party claims, damages, losses, and reasonable expenses (including reasonable attorneys' fees) arising directly from:

(a) your violation of these Terms;

(b) information you submit through the Site (including through our forms) that is false, misleading, or that you did not have the right to submit;

(c) your misuse of the Site, including any prohibited use described in Section 3.2; or

(d) your violation of any applicable law in connection with your use of the Site.

10.2 Indemnification by NextTurn AI

NextTurn AI agrees to indemnify, defend, and hold harmless you from and against any third-party claims, damages, and reasonable expenses (including reasonable attorneys' fees) directly arising from NextTurn AI's gross negligence or willful misconduct in operating the Site — excluding, in all cases, claims related to the illustrative figures, projections, or example results described in Section 8.2 and Section 6.2, which are addressed separately by those disclaimers and are not subject to this indemnification.

10.3 Process

The party seeking indemnification must promptly notify the other party in writing of the claim, allow the indemnifying party to control the defense and settlement of the claim, and reasonably cooperate in the defense at the indemnifying party's expense.

10.4 Scope Limitation

This Section 10 applies to your use of the Site itself (browsing, form submissions, general inquiries). If you become a paying client of NextTurn AI, indemnification related to the actual service engagement is governed separately by the Indemnification terms in your signed Service Agreement, not by this section.

11. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

12. CHANGES TO THESE TERMS

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

13. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
